Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Bayou Commerce website at bayoucommerce.com (the "Site"), operated by Bayou Commerce LLC ("Bayou," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
Bayou's wholesale ordering application for Shopify is in development and is not yet available. These Terms currently cover your use of the Site and our launch waitlist. When the application launches, additional terms will apply to its use, and we will make those terms available at that time.
Eligibility
You must be at least 16 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.
The waitlist
If you join our waitlist, you are asking us to notify you about Bayou's progress and availability. Joining the waitlist does not create any obligation for you to purchase anything, and it does not guarantee access to the application, any particular pricing, or any specific launch date. You may remove yourself from the waitlist at any time by unsubscribing from our emails.
Acceptable use
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Submit false, misleading, or someone else's information through our forms;
- Attempt to gain unauthorized access to the Site, its systems, or its data;
- Interfere with or disrupt the operation of the Site, including by introducing malware or sending automated requests at a volume that could impair the Site; or
- Copy, reproduce, or scrape the Site's content except as permitted by these Terms.
Intellectual property
The Site and all of its content, including the Bayou name, logo, text, graphics, and design, are owned by Bayou Commerce LLC or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational use. No other rights are granted.
Third-party links and services
The Site may link to third-party websites or services, such as our Instagram page or the Shopify App Store. We do not control and are not responsible for the content, policies, or practices of those third parties. Your use of them is at your own risk and subject to their terms.
Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete or current. Any statements about future product features, pricing, or availability are forward-looking and subject to change.
Limitation of liability
To the fullest extent permitted by law, Bayou Commerce LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site will not exceed one hundred U.S. dollars (US $100).
Indemnification
You agree to indemnify and hold harmless Bayou Commerce LLC from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any other reason. The sections of these Terms that by their nature should survive termination will continue to apply.
Governing law
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Louisiana.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the revised Terms on this page. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.
